TERMS OF SERVICE
Effective Date: December 1, 2025
These Terms of Service ("Terms") govern your access to and use of the Can-du Educator Tools platform, website, applications, services, content, software, and related features (collectively, the "Platform").
The Platform is operated by 768483 NB Ltd., a corporation incorporated under the laws of New Brunswick, Canada, doing business as Can-du Educator Tools ("Can-du", "we", "us", or "our").
By creating an account, accessing, or using the Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, you may not use the Platform.
1. ELIGIBILITY
You may use the Platform only if:
- You are at least eighteen (18) years old or the age of majority in your jurisdiction;
- You have the legal capacity to enter into binding agreements;
- You are using the Platform for lawful educational, professional, organizational, or personal purposes; and
- Your use complies with all applicable laws, regulations, policies, and contractual obligations.
If you access the Platform on behalf of an organization, school, school board, district, institution, employer, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. DESCRIPTION OF SERVICES
Can-du provides educational planning and content generation tools designed to support educators and educational organizations.
Features may include:
- Lesson planning tools;
- Curriculum-aligned content generation;
- Assessment generation;
- Educational activities and resources;
- Teaching support tools;
- Calendar and planning features;
- Resource sharing functionality;
- Artificial intelligence-powered educational assistance; and
- Additional features introduced from time to time.
Can-du may modify, improve, suspend, replace, or discontinue any aspect of the Platform at any time.
Nothing in these Terms guarantees that any specific feature will remain available.
3. ACCOUNT REGISTRATION
To access certain features, you must create an account.
You agree to:
- Provide accurate and complete information;
- Keep your information current;
- Maintain the security of your account credentials;
- Use a strong password;
- Notify us immediately of unauthorized access.
You are responsible for all activity occurring under your account.
You may not:
- Share accounts;
- Sell accounts;
- Transfer accounts without our written consent;
- Permit multiple users to access a single-user subscription.
4. SUBSCRIPTIONS, BILLING, AND FREE TRIALS
Certain features require a paid subscription.
Subscription details, pricing, billing frequency, and available plans are displayed on the Platform.
Free Trial
Can-du may offer free trials.
Unless otherwise stated:
- Free trials automatically convert to paid subscriptions at the end of the trial period;
- Payment information may be required before the trial begins;
- You may cancel before the trial ends to avoid charges.
Billing
By subscribing, you authorize Can-du and its payment processors to charge your selected payment method for all applicable fees, taxes, and charges.
Subscriptions automatically renew unless cancelled.
All fees are stated in Canadian dollars unless otherwise indicated.
Applicable taxes may be charged in addition to listed prices.
Price Changes
We may change pricing at any time.
Material pricing changes will be communicated before they take effect.
Continued use of the Platform following a pricing change constitutes acceptance of the updated pricing.
5. CANCELLATION
You may cancel your subscription at any time.
Upon cancellation:
- You retain paid access until the end of your current billing period;
- Future recurring charges stop;
- Your account may be downgraded to a free or limited-access version if available;
- You may retain read-only access to previously created content.
Unless required by applicable law, all fees are non-refundable.
Can-du does not provide refunds for:
- Partial billing periods;
- Unused subscriptions;
- Failure to cancel before renewal;
- User dissatisfaction with AI-generated content.
6. ACCEPTABLE USE
You agree not to:
- Violate any law or regulation;
- Infringe intellectual property rights;
- Upload malicious code;
- Interfere with Platform operations;
- Attempt unauthorized access;
- Reverse engineer the Platform;
- Scrape, harvest, or extract data through automated means;
- Use the Platform to train competing AI models;
- Circumvent subscription restrictions;
- Impersonate another person;
- Submit misleading or fraudulent information;
- Upload harmful, unlawful, defamatory, discriminatory, or abusive content.
We reserve the right to investigate and respond to suspected violations.
7. STUDENT INFORMATION AND EDUCATIONAL COMPLIANCE
Can-du is designed primarily for educators.
Users remain solely responsible for compliance with:
- School policies;
- School board policies;
- District policies;
- Provincial privacy laws;
- Federal privacy laws;
- Professional obligations;
- Educational standards.
Users should avoid uploading personally identifiable student information unless authorized and legally permitted.
Can-du does not verify whether uploaded information complies with applicable educational privacy requirements.
Responsibility for compliance remains exclusively with the user.
8. USER CONTENT
Users may upload, create, submit, store, generate, or share content through the Platform ("User Content").
You retain ownership of your User Content.
You grant Can-du a worldwide, non-exclusive, royalty-free license to:
- Host;
- Store;
- Process;
- Display;
- Transmit;
- Reproduce;
your User Content solely as necessary to provide, maintain, secure, improve, and operate the Platform.
You represent and warrant that:
- You own or control all rights necessary to upload the content;
- Your content does not violate law;
- Your content does not infringe third-party rights.
9. FILE UPLOADS
Can-du may permit file uploads.
By uploading files, you acknowledge that:
- Files may be processed by third-party providers;
- Files may be scanned for malware, abuse prevention, security purposes, or prohibited content;
- Can-du may remove content that poses legal, security, operational, or reputational risk.
Can-du is not responsible for preserving uploaded files indefinitely.
Users should maintain independent backups.
10. SHARED RESOURCES
Can-du may allow users to share educational resources with other authenticated users.
Shared resources:
- Remain the property of the original creator;
- May only be viewed through authorized Platform functionality;
- May not be copied, redistributed, sublicensed, sold, or commercially exploited without authorization.
Can-du reserves the right to remove shared content at any time.
11. INTELLECTUAL PROPERTY
The Platform, including:
- Software;
- Source code;
- Designs;
- User interfaces;
- Workflows;
- Databases;
- Branding;
- Logos;
- Trademarks;
- Documentation;
are owned by Can-du or its licensors.
Except as expressly granted, no rights are transferred to users.
Users receive a limited, revocable, non-exclusive, non-transferable license to access and use the Platform in accordance with these Terms.
12. ARTIFICIAL INTELLIGENCE SERVICES
Can-du uses artificial intelligence technologies, including services provided by third-party AI providers.
You acknowledge and agree that:
- AI-generated content is automatically generated;
- Outputs may be inaccurate;
- Outputs may be incomplete;
- Outputs may be outdated;
- Outputs may contain errors;
- Outputs may contain unintended bias;
- Outputs may not be unique;
- Similar outputs may be generated for other users.
AI-generated content is provided for informational and educational assistance purposes only.
Users must independently evaluate, verify, review, adapt, and approve all content before use.
Can-du makes no guarantee regarding:
- Accuracy;
- Completeness;
- Originality;
- Curriculum compliance;
- Educational suitability;
- Legal compliance.
Users remain solely responsible for all educational decisions and uses of AI-generated content.
13. THIRD-PARTY SERVICES
The Platform may integrate with third-party providers.
These providers may include:
- Payment processors;
- Analytics providers;
- Cloud hosting providers;
- Artificial intelligence providers;
- Communication providers.
Can-du is not responsible for the products, services, policies, availability, or actions of third parties.
Your use of third-party services may be governed by separate agreements.
14. BETA FEATURES
Can-du may offer experimental, preview, early-access, or beta features.
Beta features:
- May contain bugs;
- May be modified or removed;
- May be unavailable at any time;
- Are provided without warranties.
Use of beta features is at your own risk.
15. SERVICE AVAILABILITY
Can-du does not guarantee uninterrupted availability.
The Platform may experience:
- Maintenance;
- Updates;
- Technical issues;
- Provider outages;
- Security incidents;
- Internet disruptions.
Can-du may suspend access where necessary for security, maintenance, legal compliance, or operational reasons.
16. TERMINATION AND SUSPENSION
Can-du may suspend or terminate access immediately if:
- These Terms are violated;
- Fraud is suspected;
- Security risks are identified;
- Illegal activity is suspected;
- Payment obligations are not met.
For less serious violations, Can-du may provide notice and an opportunity to cure the issue.
Termination does not eliminate obligations that accrued before termination.
17. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAN-DU DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
THIS INCLUDES WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY;
- AVAILABILITY;
- RELIABILITY.
CAN-DU DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
18. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAN-DU SHALL NOT BE LIABLE FOR:
- Indirect damages;
- Incidental damages;
- Consequential damages;
- Special damages;
- Punitive damages;
- Loss of profits;
- Loss of revenue;
- Loss of business opportunity;
- Loss of goodwill;
- Loss of data.
CAN-DU'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
(A) CAD $100; OR
(B) THE FEES PAID BY YOU TO CAN-DU DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
19. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Can-du, its officers, directors, employees, contractors, affiliates, and agents from claims, damages, liabilities, losses, costs, and expenses arising from:
- Your use of the Platform;
- Your User Content;
- Your violation of these Terms;
- Your violation of law;
- Your violation of third-party rights;
- Your handling of student information.
20. FORCE MAJEURE
Can-du shall not be liable for delays or failures resulting from events beyond its reasonable control, including:
- Natural disasters;
- Government actions;
- Labor disputes;
- Internet failures;
- Cybersecurity incidents;
- Third-party provider outages;
- Utility interruptions.
21. GOVERNING LAW
These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable therein.
22. DISPUTE RESOLUTION
Before commencing formal legal proceedings, parties agree to attempt good-faith informal resolution by contacting:
Any legal proceedings shall be brought exclusively before courts located in New Brunswick, Canada.
23. CHANGES TO THESE TERMS
Can-du may update these Terms periodically.
Material changes may be communicated through:
- Email;
- Platform notifications;
- Website notices.
Continued use of the Platform following the effective date of revised Terms constitutes acceptance of the revised Terms.
